An annual meeting of the regular members of this Society shall be held in the Santa
Clarita Valley, County of Los Angeles, State of California, on the third Wednesday in
January of each year.
No change of the time or place for an annual meeting of regular members of this
Society shall be made within thirty (30) days prior to the date set for the annual meeting,
[) except in case of emergency or act of God, in which case the meeting shall be held at the
time on the nearest convenient Wednesday.
At each annual meeting ten Board members, plus persons to fill such other existing
[1 vacancies, shall be elected to the Board of Directors, and such other business shall be
transacted as seems desirable.
Providing notice has been duly given, a quorum for the purpose of conducting
business at the annual meeting shall consist of those members present and voting.

Section 4. Non-Liability: of Members
No member of this Society shall be personally or otherwise liable for any of the
debts, liabilities, and/or obligations of this Society.

Section 5. Termination and Suspension of Membership
A. Causes of Termination
A membership shall terminate on occurrence of any of the following events:
(1) Resignation of the member, on reasonable notice to the
corporation;
(2) Expiration of the period of membership, unless the membership is
renewed on the renewal terms fixed by the Board;
(3) Occurrence of any event that renders the member ineligible for
membership, or failure to satisfy membershi'p qualifications;
( 4) Failure of the member to pay dues, fees, or assessments as set by the
Board after they become due and payable;
(5) Expulsion of the member under Section 5(C) of Article VI of these
By-Laws based on the good faith determination by the Board, or a Committee authorized
